1. Acceptance of Terms

Welcome to Avitaxi. By accessing or using our mobile application and services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Avitaxi. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Definitions

• "Avitaxi," "we," "us," or "our" refers to the Avitaxi platform and company
• "User," "you," or "your" refers to any person using our services
• "Rider" refers to users who book rides or car hire services
• "Driver" refers to independent contractors who provide transportation services
• "Services" refers to our ride-hailing and car hire platform
• "App" refers to the Avitaxi mobile application

3. Eligibility

To use Avitaxi, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations

For drivers, additional requirements include possessing a valid driver's license, vehicle registration, insurance, and passing our verification process.

4. User Accounts

4.1 Account Creation

You must create an account to use our services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate.

5. Services

5.1 FAAN Taxi

Our taxi service provides point-to-point transportation. Fares are calculated based on distance, time, and car type. Fare estimates are provided before booking but may vary based on actual trip conditions.

5.2 FAAN Car Hire

Our car hire service allows you to rent a vehicle with a professional driver for a specified duration (hourly or daily). Pricing is based on duration, car type, and whether the trip is inter-state.

5.3 Service Availability

Services are subject to availability. We do not guarantee that a driver will be available at all times or in all locations. We reserve the right to refuse service for any reason.

6. Booking and Cancellation

6.1 Booking

You can book rides immediately or schedule them in advance. By confirming a booking, you agree to pay the fare and any applicable fees.

6.2 Cancellation

You may cancel a booking through the app. Cancellation fees may apply depending on the timing and circumstances of the cancellation. Drivers may also cancel bookings in accordance with our policies.

6.3 No-Show

If you fail to appear at the pickup location within a reasonable time, the driver may cancel the trip and you may be charged a cancellation fee.

7. Fares and Payment

7.1 Fare Calculation

Fares are calculated based on factors including distance, time, car type, demand, and any applicable surcharges. Fare estimates are not guaranteed and actual fares may vary.

7.2 Payment Methods

We accept payment through:

• In-app wallet
• Cash
• Bank transfer
• Credit/debit cards (via Paystack)

7.3 Payment Processing

Payment is processed at the end of each trip. You authorize us to charge your selected payment method for all fares and fees. All payments are final and non-refundable except as required by law or our refund policy.

7.4 Wallet

You may maintain a wallet balance for convenient payment. Wallet funds are non-refundable except as required by law. We are not responsible for unauthorized wallet transactions if you fail to secure your account.

8. Driver Terms

8.1 Independent Contractor Status

Drivers are independent contractors, not employees of Avitaxi. Drivers are responsible for their own taxes, insurance, and compliance with all applicable laws.

8.2 Driver Requirements

Drivers must:

• Possess a valid driver's license
• Maintain valid vehicle registration and insurance
• Pass background checks and vehicle inspections
• Maintain their vehicle in good condition
• Comply with all traffic laws and regulations
• Provide professional and courteous service

8.3 Driver Earnings

Drivers earn a percentage of each fare after platform fees. Earnings are transferred to the driver's wallet and can be withdrawn according to our payment schedule.

8.4 Driver Deactivation

We reserve the right to deactivate driver accounts for violations of these Terms, poor ratings, safety concerns, or any other reason we deem appropriate.

9. User Conduct

You agree not to:

• Use the services for any illegal purpose
• Harass, abuse, or harm other users or drivers
• Provide false or misleading information
• Attempt to manipulate fares or ratings
• Reverse engineer or tamper with the app
• Use the services to transport illegal goods or substances
• Violate any applicable laws or regulations
• Create multiple accounts to abuse promotions

10. Safety and Security

10.1 User Safety

While we implement safety measures including driver verification and real-time tracking, you acknowledge that using transportation services involves inherent risks. You are responsible for your own safety.

10.2 Emergency Situations

In case of emergency, contact local emergency services immediately. You may also use the in-app emergency features to alert our support team.

10.3 Lost Items

We are not responsible for items lost in vehicles. You may contact the driver through the app to arrange retrieval of lost items.

11. Ratings and Reviews

Both riders and drivers can rate and review each other after trips. Ratings and reviews must be honest and not abusive. We reserve the right to remove inappropriate reviews and take action against users who abuse the rating system.

Consistently low ratings may result in account suspension or termination.

12. Intellectual Property

All content, features, and functionality of the Avitaxi app and services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of Avitaxi and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

13. Limitation of Liability

To the maximum extent permitted by law, Avitaxi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from:

• Your use or inability to use the services
• Any conduct or content of any third party on the services
• Unauthorized access to or alteration of your data
• Accidents, injuries, or property damage during trips
• Actions or omissions of drivers or other users

Our total liability to you for all claims arising from your use of the services shall not exceed the amount you paid to Avitaxi in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Avitaxi, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the services, violation of these Terms, or violation of any rights of another party.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

15.2 Arbitration

Any dispute arising from these Terms or your use of the services shall be resolved through binding arbitration in accordance with Nigerian arbitration laws, except where prohibited by law.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Privacy

Your use of the services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

17. Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of the services at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the services.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Avitaxi regarding the use of our services and supersede all prior agreements and understandings.
